General Terms and Conditions
1. Introduction
These general terms and conditions govern the access to and use of online training videos and associated services (the “Services”) as well to the platform hosting the Services (the “Platform”) provided by DDGDD SA /NV (the “Company”) to registered commercial companies (the” Client”) for access by registered designated employees, director’s and/or representatives of the Client (the " User” or “Users"). By accessing to or using these Services and the Platform, Users agree as well to comply with and be bound by these terms and conditions.
2. Access to the Services and the Platform
2.1 Eligibility
Access to Services and the Platform is restricted to Users of Clients which have been granted authorization by the Company the access and user right. Unauthorized access or use of the Services or of the Platform is strictly prohibited.
2.2 Registration and Account
Users must register for an account to access the Services and the Platform. During registration, Users will have provided personal information, including but not limited to their name, email address, and company affiliation. Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
2.3 Access Period
Access to the Services and the Platform will be granted for a period one year from the date of registration by the User unless agreed otherwise in writing. The access period may be subject to renewal or extension provided agreed upon in writing.
3. Use of the Services and Platform
3.1 Permitted Use
Clients and Users are granted a non-exclusive, non-transferable right to access and use the Services and the Platform for the purpose of their own professional development and training and for their Company performance purpose. The Services and Platform cannot be used by Clients and Users for any commercial purposes or for any other reasons.
3.2 Prohibited Use
Clients and Users shall not:
None of the materials, be it written or graphical can be copied and pasted onto publicly available AI Platforms or any other AI driven models for any purpose, including personal use.
- Modify, copy, distribute, resell, use for external engagements or transmit the Services without prior written permission from the Company.
- Use the Services and the Platform for any illegal or unauthorized purpose.
- Remove or alter any copyright or proprietary rights or notices contained in the Services and Platform.
- Engage in any activity that may compromise the security or integrity of the Services, or the Platform used to deliver them.
- Allow any third party to access or use their account credentials and, in general, the Services and the Platform.

4. Intellectual Property Rights
4.1 Ownership
All content, including but not limited to videos, text, names, images, graphics, trademarks, logos and software, available through the Services (the "Content") or Platform is the property of the Company or its licensors and is protected by intellectual property laws, including but not limited to copyright and trademark laws.
4.2 License to Use Content
Subject to compliance with these Terms, the Company grants the Client and the User a limited, non-exclusive, non-transferable, and revocable license to access and view the Content for the personal, non-commercial use of the User. The Client and the User may not copy, reproduce, distribute, transmit, display the Content and/or perform, create derivative works from the Content without the prior written consent of the Company.
4.3 Restrictions
The Client and the User agree not to:
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Content.
- Use any automated means, including robots, spiders, or data mining tools, to access, monitor, or copy any part of the Services or the Platform.
- Reverse engineer, decompile, or disassemble any part of the Services or Platform.
- Circumvent any security measures used by the Company to protect the Services and the Platform.
- Use the Services for any commercial purposes without the prior written consent of the Company.
5. Confidentiality
Clients and Users acknowledge that the Services and the Platform may contain confidential and proprietary information belonging to the Company. Client and Users agree to maintain the confidentiality of such Services and Platform and not to disclose it to any third party without the prior written consent of the Company.
6. Limitations of Liability
6.1 Disclaimer of Warranties
The Services and the Platform are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Services or Platform will be uninterrupted or error-free, that defects will be corrected, or that the Services or Platform are free of viruses or other harmful components.
6.2 Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, or use, incurred by you or any third party, whether in an action in contract, tort, or otherwise, arising from your access to or use of the Services and Platform, even if the Company has been advised of the possibility of such damages.
6.3 Limitation of Liability in Jurisdictions
Some jurisdictions other than Belgium jurisdiction do not mandatorily allow the exclusion or limitation of certain warranties or liabilities. Accordingly, some of the above exclusions and limitations may not apply to you. In such cases, the Company's liability will be fully limited permitted by applicable law.
7. Client and Users Conduct
The Client and Users agrees to use the Services and Platform in compliance with any and all applicable mandatory laws and regulations. They agree not to:
- Engage in any activity that interferes with or disrupts the Services or the Platform.
- Post or transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Harvest or collect any information about other Users without their written consent.
- Engage in any activity that could damage, disable, or impair the Services or the Platform.
8. Indemnification
Clients and Users agree to indemnify and hold harmless the Company its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with their access to or use of the Services and Platform.
9. Termination
9.1 Termination by the Company
The Company reserves the right to terminate Clients and Users' access to the Services and Platform, without prior notice in case of any direct or indirect violation of these terms and conditions. Upon termination, Clients and Users must cease all use of the Services and Platform and delete or destroy any copies in their possession. No refunds will be issued.
9.2 Termination by Clients
Client may terminate their access to the Services at any time by providing written notice to the address of the Company. Upon termination, Client and their Users will no longer have access to Services and Platform and no refunds will be issued.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of Belgium without regard to its conflict of law principles.
10.2 Dispute Resolution
Any disputes arising out of or in connection with these terms and conditions shall be resolved through good faith negotiations. If the parties are unable to resolve the dispute through negotiations, the courts of Brussels, Belgium, shall have exclusive jurisdiction.
11. Amendments
The Company reserves the right to amend or modify these terms and conditions at any time. Clients will be notified of any significant changes, and continued access to the Services and Platform after such changes will constitute acceptance of the revised terms and conditions.
12. Miscellaneous
- These Terms constitute the entire agreement between the User and the Company regarding access and use by the Clients and Users to the Services and the Platform.
- If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
- The Company's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
- The User may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of the Company.

14. Entire Agreement
These terms and conditions constitute the entire agreement between the Clients and Users and the Company regarding access to and use of the Services and Platform. It supersedes all prior agreements and understandings, whether written or oral.
